Hiring Remote Software Engineers and Finance Talent in the Caribbean: IP, Contractor Risk and EOR

Most fintechs start Caribbean engineers on contractor agreements and find out later that the code assignment is weak and the relationship looks like employment. Moving them onto an EOR or entity costs about 11.5% on top of salary for a JMD 600,000 Jamaican engineer, and gives you clean IP and payroll. This playbook covers the conversion plan, the IP documents and the cost math.

Why the contractor start becomes a problem

A full-time engineer who works your sprint calendar, uses your laptop and accounts, reports to your engineering manager and has no other clients looks like an employee under the tests used across Caribbean jurisdictions, whatever the agreement says. If the relationship is reclassified, the company can owe back NIS, NHT and other contributions, PAYE that should have been withheld, and statutory leave and severance rights.

For a fintech, the second problem is often bigger: intellectual property. A thin contractor template governed by a US state's law, signed by email, may not give a clean assignment of code, models and inventions created in Jamaica or Trinidad. Investors and acquirers will ask about it in due diligence, and a gap there can delay a funding round.

The practical answer is to convert long-term, full-time contributors to employment, either on your own local entity or through an EOR, with a local-law employment agreement and a separate IP assignment. Keep genuine contractors (short projects, multiple clients, own tools, deliverable-based fees) as contractors, with a stronger agreement. The tests are set out in the contractor misclassification playbook.

Owner of the decision: General Counsel, with the VP Engineering identifying who is full-time and integrated.

The confirmatory assignment in weeks 3-4 matters: it covers work done before the employment date, which a new employment agreement alone does not reach. Pay a small, stated consideration for it if local counsel advises.

Engineers will compare take-home pay. A contractor invoicing gross will see NIS, Education Tax, NHT and PAYE deductions for the first time in Jamaica, or NIS, Health Surcharge and PAYE in Trinidad. Show a gross-to-net illustration with every offer, and decide in advance whether you will gross up salaries to protect net pay.

Worked example: a senior engineer in Jamaica and in Trinidad

Benchmark FX: USD 1 = JMD 158 and TTD 6.78 (November 2026).

Jamaica, gross JMD 600,000 a month 1. Employer NIS 3% x 416,666.67 (monthly ceiling) = 12,500.00 2. Statutory income 600,000 - 12,500 (employee NIS) = 587,500.00 3. Education Tax 3.5% x 587,500 = 20,562.50 4. NHT 3.0% x 600,000 = 18,000.00 5. HEART/NSTA 3.0% x 600,000 = 18,000.00 Employer statutory total 69,062.50 (11.51%) Loaded cost 669,062.50 / 158 = USD 4,234.57 Regional EOR: 4,234.57 + 250.00 = USD 4,484.57 / month Global EOR: 4,234.57 + 599.00 + 2.5% FX (105.86) = USD 4,939.43 / month Annual gap per engineer: (4,939.43 - 4,484.57) x 12 = USD 5,458.32 Trinidad and Tobago, gross TTD 40,000 a month Employer NIS 10.8% x 13,600 (ceiling) = 1,468.80 Loaded cost 40,000 + 1,468.80 = 41,468.80 / 6.78 = USD 6,116.34 Employee side: NIS 5.4% x 13,600 = 734.40; Health Surcharge TTD 8.25 a week

Note how the caps change the percentage. In Jamaica, only NIS is capped, so the load falls slowly with salary (12.4% at lower pay, 11.5% here). In Trinidad, NIS is the only employer levy and it is capped, so the load on a TTD 40,000 engineer is 3.7%. Try other salaries in the Trinidad employer cost calculator.

IP, confidentiality and data security documents

Owner: General Counsel. Use three documents, not one:

  1. Local-law employment agreement issued by the legal employer (your entity or the EOR's), covering duties, hours, leave, notice and termination under Jamaican or Trinidadian law.
  2. IP and confidentiality assignment that assigns inventions, code and works created in the course of employment, waives moral rights where local law allows, and includes a duty to sign further documents. Where an EOR is the employer, the chain must run employee to EOR and EOR to your company; ask the provider to show you that clause in its client agreement.
  3. Acceptable use and security policy covering company devices, access to production systems, customer data and incident reporting. Regulated fintechs should align this with their own regulator's outsourcing and data rules.

Ask the EOR four things in writing: which legal entity employs the engineer, whether an in-country partner is used, how the IP assignment flows to you, and whether a non-solicit or non-compete is enforceable locally. Non-competes are treated restrictively in many common-law Caribbean jurisdictions; rely on confidentiality and IP terms, not on a broad restraint.

Vendor-specific contract points are in the Remote.com and Rippling audits. Global platforms are a fair choice when engineers are spread across many countries and you want one contract; for a concentrated Jamaican or Trinidadian team, compare a direct regional provider on the Remote vs Deel comparison and the Deel vs regional EOR comparison.

Paying engineers: currency, FX and Trinidad liquidity

Owner: CFO and treasury. Engineers often ask to be paid in USD. An EOR employing locally will normally run payroll and statutory remittances in the local currency, because NIS, NHT and PAYE are computed and paid in JMD or TTD. A USD-denominated contract may attract an off-currency surcharge (USD 50 PEPM is commonly quoted) and still settle statutory items in local currency.

In Trinidad, USD shortages at commercial banks make the funding route important. Foreign employers funding TTD payroll through intermediaries have faced spreads of 2.5%-4% or delayed wires. Ask the provider where your USD lands, who converts it, at what rate, and how many days before pay date funding is needed. The Trinidad NIS and FX payroll guide covers the options.

Deposits also matter for small teams. A 2-month deposit on ten Jamaican engineers at JMD 600,000 is JMD 12,000,000, about USD 75,949, which a seed-stage company may need elsewhere. Model deposit and FX together in the EOR fee audit calculator.

Finally, agree the funding calendar in writing: the date the provider needs cleared funds, the date staff are paid, and what happens if a bank holiday in the US or the Caribbean falls in between. Engineers notice a late salary faster than any other benefit change.

Risks, controls and conversion checklist

  • Reclassification of past contractor periods. Control: convert on a fixed date and keep the classification memo; ask counsel whether any back contributions should be regularized.
  • Broken IP chain through an EOR. Control: read the EOR client agreement's IP clause before signing; require a direct confirmatory assignment from each engineer.
  • Net-pay shock and attrition. Control: gross-to-net illustration with every offer and a stated gross-up policy.
  • Hidden FX cost. Control: rate source and maximum spread in the contract.
  • Unenforceable restraint clauses. Control: rely on confidentiality, IP and notice terms.
  • Regulator outsourcing rules. Control: if your fintech is licensed, check whether staff employed by a third party count as an outsourcing arrangement that must be notified.

Checklist

  • Every contractor classified, with a written reason.
  • Employment agreement, IP assignment and security policy approved by local counsel.
  • Confirmatory assignment signed for all pre-employment work.
  • Written EOR answers on employing entity, partner use, FX, deposit and IP flow.
  • Gross-to-net illustration attached to every offer.
  • First payroll filed: S01 receipt in Jamaica by the 14th, NIS and PAYE in Trinidad by the 15th.
  • Contractor agreements terminated on the employment start date, with final invoices settled.

Straight answers

FAQs

Can we keep Caribbean engineers on contractor agreements?

Only where the relationship is genuinely independent: project-based, multiple clients, own tools and control over how the work is done. A full-time engineer integrated into your team is at real risk of being treated as an employee, with back contributions and PAYE due.

What does a Jamaican engineer on JMD 600,000 a month cost the employer?

About JMD 669,062.50 a month, or USD 4,234.57 at the benchmark rate, before any EOR fee. Employer NIS is capped at JMD 12,500 a month, while Education Tax, NHT and HEART are uncapped. Confirm rates with TAJ before payroll is run.

What is employer NIS in Trinidad and Tobago in 2026?

From January 5, 2026, employer NIS is 10.8% and employee NIS 5.4%, on earnings up to TTD 13,600 a month, so the maximum employer contribution is TTD 1,468.80 a month. The total rate is scheduled to rise to 19.2% in January 2027.

Who owns the code if an EOR employs our engineer?

The engineer assigns IP to the legal employer, and the EOR client agreement should assign it on to you. Check that clause before signing and also take a direct confirmatory assignment from each engineer, especially for work done before employment started.

Can engineers be paid in USD through an EOR?

Some providers allow USD-denominated contracts, often with an off-currency surcharge, but statutory contributions are still calculated and remitted in local currency. Ask how the USD amount is converted for statutory purposes and who bears the FX difference.
